Terms & Conditions
1) Access & Usage
- We grant you a limited, non-transferable, revocable license to use the platform for internal business purposes.
- You own your data and content you submit (“Customer Data”).
- AI agent configurations, prompts, and outputs generated by the platform (“AI Outputs”) are licensed for your internal use; the software and templates remain our IP.
- You must not resell, sublicense, reverse engineer, or circumvent platform features.
2) Responsibilities & Acceptable Use
- Provide accurate information and keep credentials secure; you’re responsible for activity under your account.
- No bots/spam, scraping, security probing, impersonation, or unlawful/abusive content.
- You must have valid consent and a lawful basis to contact end users (e.g., GDPR, Spam Act 2003 (AU), TCPA (US), or equivalents).
3) Ownership & Intellectual Property
- All platform software, code, designs, and trademarks are owned by Lunivo AI (or its licensors).
- You may not copy, modify, or create derivative works of the platform.
- Feedback you provide may be used by us without restriction to improve the service.
4) Security & Privacy
- We implement appropriate technical and organizational measures to protect Customer Data.
- We do not sell Customer Data. You may export data via product features or upon request.
- Both parties will protect confidential information for 3 years from disclosure.

5) Payments, Term & Termination
- Fees are due as specified at checkout or in the order form; subscriptions may renew automatically unless stated otherwise.
- If you terminate, you remain responsible for fees accrued and services delivered up to the termination date.
- We may suspend or terminate access for non-payment or material violations.
- Either party may terminate with written notice for uncured material breach (14-day cure period).
6) Disputes & Governing Law
- Governing Law: New South Wales, Australia.
- Dispute Resolution: good-faith negotiation → mediation/arbitration → court if needed.
- Force Majeure: delays caused by events beyond reasonable control are excused.
7) Miscellaneous
- E-signatures and email notices are binding.
- We may update these Terms; the “Last updated” date will change. Continued use = acceptance.
